TERMS AND CONDITIONS

1. Acceptance of Terms
By accessing or using the website located at texconrest.com (the “Site”) or by engaging Texas Concrete Restoration, Inc. (“Company,” “we,” “us,” or “our”) for any services, you (“Client,” “Customer,” or “you”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use the Site or engage our services.
2. Services
Texas Concrete Restoration, Inc. provides commercial and industrial concrete restoration, repair, removal, replacement, surface preparation, industrial flooring, facility maintenance, and related construction services across Texas, Oklahoma, and Louisiana (collectively, the “Services”).
The specific scope, schedule, pricing, and terms of any project will be detailed in a separate written proposal, estimate, work order, or service agreement (collectively, a “Service Agreement”) executed by both parties. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall control.
3. Quotes and Estimates
All quotes and estimates provided by the Company are valid for thirty (30) days from the date of issuance unless otherwise stated in writing. Quotes are based on information provided at the time of assessment. Changes in scope, unforeseen site conditions, or material price fluctuations may require a revised quote prior to commencement of work.
A written and signed Service Agreement or purchase order is required before work begins. Verbal authorizations are not binding on the Company.
4. Payment Terms
4.1 Invoicing
Unless otherwise agreed in a Service Agreement, payment terms are net thirty (30) days from the date of invoice. The Company may require a deposit prior to mobilization on larger projects, as specified in the Service Agreement.
4.2 Late Payments
Invoices not paid within the agreed payment period will accrue interest at the rate of one and one-half percent (1.5%) per month (18% per annum) on the outstanding balance, or the maximum rate permitted by applicable Texas law, whichever is less.
4.3 Collection Costs
If the Company engages a collection agency or legal counsel to collect overdue amounts, the Client agrees to reimburse the Company for all reasonable collection costs, including attorneys’ fees and court costs.
4.4 Lien Rights
The Company reserves all rights under Chapter 53 of the Texas Property Code and applicable statutes in Oklahoma and Louisiana to file a mechanic’s lien or materialman’s lien against the property where services were performed in the event of non-payment.
5. Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information necessary for the Company to perform the Services
- Ensure the Company has safe and lawful access to the work site during agreed-upon hours
- Notify the Company promptly of any hazardous materials, buried utilities, or site conditions that may affect the work
- Obtain any permits or approvals required by local authorities, unless otherwise agreed in writing
- Designate an authorized representative who has authority to approve changes to the scope of work
6. Change Orders
Any changes to the agreed scope of work, materials, or schedule must be authorized by a written change order signed by both parties before the Company proceeds with the additional work. Verbal or email approvals alone do not constitute a valid change order. Change orders may affect the project price and timeline.
7. Warranty
The Company warrants that all Services will be performed in a professional and workmanlike manner in accordance with applicable industry standards, including those established by the International Concrete Repair Institute (ICRI). Specific warranty terms, including warranty period and limitations, will be set forth in the applicable Service Agreement.
THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WHICH ARE HEREBY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEXAS CONCRETE RESTORATION, INC.’S TOTAL LIABILITY TO THE CLIENT FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO THE COMPANY FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, OR LOSS OF DATA, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Indemnification
To the fullest extent permitted by law, the Client agrees to indemnify, defend, and hold harmless the Company and its officers, directors, employees, subcontractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) the Client’s breach of these Terms or any Service Agreement; (b) the Client’s negligence or willful misconduct; (c) inaccurate or incomplete information provided by the Client; or (d) Client’s failure to disclose known site hazards or conditions.
10. Independent Contractor
The Company is an independent contractor and not an employee, partner, joint venturer, or agent of the Client. The Company retains the right to determine the manner and means by which the Services are performed, subject to the requirements of the Service Agreement.
11. Subcontractors
The Company may engage qualified subcontractors to perform portions of the Services. The Company remains responsible for the work of its subcontractors and will ensure that any subcontractors used meet applicable licensing and insurance requirements.
12. Insurance
The Company maintains general liability insurance and other coverages as may be required by applicable law or as agreed in a Service Agreement. Certificates of insurance will be provided upon written request.
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disasters, severe weather, government actions, labor disputes, supply chain disruptions, or pandemics (“Force Majeure Events”). The affected party shall provide prompt written notice to the other party and shall use commercially reasonable efforts to resume performance as soon as practicable.
14. Intellectual Property
All content on the Site, including text, images, logos, graphics, and other materials, are the property of the Company or its content suppliers and are protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Site content without the express written consent of the Company.
15. Use of Site
You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You shall not:
- Use the Site in any way that violates applicable federal, state, or local laws or regulations
- Attempt to gain unauthorized access to any part of the Site or its related systems
- Transmit any unsolicited or unauthorized advertising or promotional material
- Engage in conduct that restricts or inhibits any person’s use or enjoyment of the Site
16. Disclaimer of Warranties for the Site
THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TEXAS CONCRETE RESTORATION, INC. DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or litigation in a court of competent jurisdiction in Ellis County, Texas. The parties hereby consent to the personal jurisdiction and venue of such courts.
18. Attorneys’ Fees
In any action or proceeding to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees, court costs, and other legal expenses from the non-prevailing party.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with any executed Service Agreement, constitute the entire agreement between the Company and the Client with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties. No modification of these Terms shall be binding unless in writing and signed by an authorized representative of the Company.
21. Waiver
No failure or delay by the Company in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude any other or further exercise of that right or remedy.
22. Changes to These Terms
The Company reserves the right to modify these Terms at any time. Updated Terms will be posted on the Site with a revised Effective Date. Your continued use of the Site or engagement of our Services after the posting of changes constitutes your acceptance of the revised Terms.
